Because the general function of Fair Use tends to be shaky when it comes to a work using elements of another work in a manner that could compete for the same market that the original work is aiming for. Even if one of these fan projects is """free""", there's still usually some element of donations that goes into it that tends to draw money from (theoretical) sales for another project. A lot of people were obviously upset by AM2R being shut down, but that game was coming on the heels of an actual Metroid 2 Remake, and if AM2R existed in the same ecosystem at the same time, there's a very strong chance that Nintendo would be fighting a fan project (using their own assets) for existence in the same market pool.

You're almost never going to see these shutdowns without some kind of component of market share being brought up because nearly 100% of them are done at the same time as some other current or future project that the corporation winds up wrestling for.
