Because their origin story allows to children think, that it is possible to a human to become like them (Batman consists of physical power, training, willpower, intelligence and money, Spider-Man was bitten by a radioactive spider, being a human before). Both use violence to deal with their enemies, both are good guys, both does not kill their enemies intentionally. Both have good animated series from 80-90's.
Batman have stylish half-noir setting, Spider-Man have cool hi-tech setting.
In case they would have crossover, they would be "good joking cop, bad intimidating cop" pair, while still refraining from killing.

Spider-man is the most egregious example of "status qou is the way to go" in mainstream comics. Every 40 or so issues, there's like a soft reset on the continuity. Can't let Peter have a family with MJ, stay rich and successful, be the leader of a team, stop being a manchild, or allow people to know his identity. Any of that would 'destroy' the character.
